Partner program terms.

1. Program overview

The ModPhone Partner Program (“Program”) lets approved individuals and companies (“Partners”) refer new customers to ModPhone (“we”, “us”) in exchange for commissions on qualifying subscriptions. These Terms govern your participation. By applying or continuing to participate, you agree to them.

2. Eligibility

To participate you must:

• Be 18 or older and legally able to enter a contract
• Have a working email address and a payout method (PayPal, Stripe, or direct deposit)
• Apply at dash.partnerstack.com/application?company=modphone and be approved by our team
• Not be a current ModPhone employee, contractor, or direct competitor

We can approve or decline applications at our discretion.

3. Referrals & commissions

Commission structure

Partners earn 20% of the monthly subscription fee paid by a referred customer, for as long as that customer remains a paid subscriber in good standing.

Referral attribution

A referral is credited to you if the prospect clicks your unique PartnerStack link and signs up within 90 days. Last-click wins. If a prospect clicks multiple partners’ links, the most recent click gets credit.

Payment schedule

Commissions are paid out monthly via PartnerStack. Available payout methods: PayPal, Stripe, direct deposit. Minimum payout threshold: $50. Balances below $50 roll over to the next month.

Commission adjustments

We may adjust (claw back) commissions for: refunds issued to the referred customer, chargebacks, non-payment by the referred customer, fraud, or violation of these Terms.

Self-referrals

Self-referrals (referring your own business, an account you control, or a family member’s account) are not eligible for commissions.

4. Partner obligations

You agree to:

• Represent ModPhone accurately — no false claims about features, pricing, or performance
• Not use our trademarks or copyrighted materials outside the marketing assets we provide in the PartnerStack dashboard
• Not spam — no unsolicited bulk email, no deceptive advertising, no bidding on our brand keywords
• Comply with applicable laws (FTC guidelines on affiliate disclosure, anti-spam laws, etc.)
• Disclose your partner relationship when recommending ModPhone publicly

5. ModPhone’s rights

We may: change commission rates or program rules with 30 days’ notice, pause or terminate the program, suspend any partner for suspected fraud or violations, audit referral activity, and reject referrals that don’t meet quality standards.

6. Intellectual property

We grant you a limited, revocable, non-exclusive license to use the ModPhone name, logo, and approved marketing materials solely to promote ModPhone during your participation in the Program. All IP remains ours.

7. Confidentiality

You agree to keep non-public information you receive about ModPhone (including partner performance data and internal strategy) confidential and to use it only for promoting the Program.

8. Limitation of liability

To the maximum extent permitted by law, ModPhone is not liable for indirect, incidental, or consequential damages arising from the Program. Our total cumulative liability will not exceed the commissions paid to you in the 12 months preceding any claim.

9. Termination

Either party may terminate participation at any time with written notice. On termination, we’ll pay any earned, undisputed commissions above the payout minimum. Commissions on referrals active at termination continue per the normal schedule for up to 12 months, subject to these Terms.

10. Governing law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Louisville, Kentucky.

11. General provisions

These Terms, together with the ModPhone Terms of Service and Privacy Policy, are the entire agreement between you and us regarding the Program. If any provision is found unenforceable, the remainder stays in effect. We may update these Terms; continued participation after the effective date is acceptance.
